These Terms govern access to and use of the Valent website and, where applicable, the Ariadne platform and related services provided by Valent Projects Ltd.
1. Acceptance
By accessing this website or using our services, you agree to these Terms. If you do not agree, do not use the site or services.
2. Definitions
"Services" means Ariadne and related narrative intelligence offerings. "Customer" means the organisation that contracts with Valent.
3. Services
Service scope, SLAs, and deliverables are defined in the applicable order form or master services agreement. The website is provided for informational purposes.
4. Accounts
You are responsible for safeguarding credentials and for activity under your account. Notify us promptly of unauthorised access.
5. Acceptable Use
You must not misuse the Services, attempt unauthorised access, reverse engineer (except where permitted by law), or use outputs for unlawful surveillance or harassment.
6. Intellectual Property
Valent and its licensors own all rights in the website, Ariadne software, and branding. Customer retains rights in its own data and content.
7. Confidentiality
Each party must protect the other's confidential information and use it only for performing under the agreement.
8. Data Protection
Personal data is processed as described in our Privacy Policy and any data processing addendum.
9. Disclaimer
Website content is provided "as is" without warranties of completeness or fitness for a particular purpose. Intelligence outputs are decision-support tools, not legal advice.
10. Liability
Nothing excludes liability that cannot be limited by law. Subject to that, Valent's aggregate liability is limited as set out in the customer agreement.
11. Indemnification
Customer will indemnify Valent against claims arising from Customer's misuse of the Services or breach of these Terms, to the extent set out in the customer agreement.
12. Term and Termination
Website access may be suspended for abuse. Paid Services terminate per the customer agreement.
13. Governing Law
These Terms are governed by the laws of England and Wales.
14. Changes
We may update these Terms. Continued use of the website after changes constitutes acceptance of the updated Terms.
