These Terms and Conditions ("Terms") govern your access to and use of the Valent website and the Ariadne intelligence platform ("the Platform"), operated by Valent Intelligence Limited ("Valent"), a company registered in England and Wales (Company number: [TO BE CONFIRMED]).
By accessing our website or using the Platform, you agree to these Terms. If you do not agree, you must not use our services. Where you access the Platform on behalf of an organisation, you confirm you are authorised to bind that organisation to these Terms.
Ariadne is an AI-powered disinformation intelligence platform for communications professionals, providing monitoring, detection and analysis capabilities relating to information operations and narrative threats. Access is governed by a commercial agreement between Valent and the Client. These Terms supplement that agreement.
Users must be authorised by their Client organisation. Credentials are personal and must not be shared. You are responsible for all activity under your account and must notify Valent immediately of any unauthorised access.
You must not use the Platform to: violate any applicable law; infringe third-party intellectual property rights; conduct surveillance without lawful authority; generate or disseminate disinformation; reverse-engineer or reproduce any part of the Platform; interfere with the Platform's performance; access the Platform via automated means without written consent; or bring Valent into disrepute.
All intellectual property rights in the Platform — including its software, algorithms, databases, and interface design — vest in Valent or its licensors. You retain ownership of data you upload; by uploading, you grant Valent a limited licence to process it solely to deliver the Services. Platform outputs may be used internally by the Client but may not be resold or sub-licenced without Valent's prior written consent.
Each party will keep confidential any information disclosed by the other that is designated confidential or that a reasonable person would understand to be so. This does not apply to information that is publicly available, lawfully received from a third party, or required to be disclosed by law.
Both parties will comply with applicable data protection law, including UK GDPR and the Data Protection Act 2018. Our processing of personal data is set out in our Privacy Policy. Where Valent processes personal data on a Client's behalf as data processor, a separate Data Processing Agreement will be entered into.
The Platform is provided on an "as is" basis. To the fullest extent permitted by law, Valent makes no express or implied warranties, including as to merchantability, fitness for a particular purpose, or non-infringement. Platform outputs are for informational purposes and should not be the sole basis for decisions.
To the fullest extent permitted by law: (a) Valent will not be liable for indirect, incidental, special, consequential, or punitive damages; (b) Valent's aggregate liability will not exceed fees paid by the Client in the twelve months preceding the claim. Nothing excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.
You agree to indemnify and hold harmless Valent and its officers, employees, and agents from any claims, liabilities, damages, or costs (including legal fees) arising from your breach of these Terms or misuse of the Platform.
These Terms apply for as long as you use our website or Platform. Valent may terminate access immediately on material breach, or with reasonable notice otherwise. Clauses covering intellectual property, confidentiality, limitation of liability, and governing law survive termination.
These Terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
We may update these Terms periodically. Material changes will be communicated with reasonable notice. Continued use following such notice constitutes acceptance.
